Background

The Feed the Future Bangladesh Aquaculture and Nutrition Activity (BANA) is a five-year project of USAID to intend to improve nutrition through growth in the aquaculture sector growth.  BANA works in 21 districts of southwestern Bangladesh and two districts in the southeast.

Firms working in aquaculture--  farms;  transportation, feed, and input suppliers;  markets, traders, wholesalers, and retailers--  face constraints due to a lack of funds.  Most are dependent on informal finance as micro-credit organizations are not focused on commercial lending, and banks do not actively target the aquaculture sector.

Investment capital markets are only beginning.

In Bangladesh security market is growing.  Since As of January, 2018, eleven companies have registered as alternative investment fund under the Bangladesh Securities and Exchange Commission (Alternative Investment) Rules. Three types of funds are given registration under this rules which are 'private equity fund', 'venture capital fund' and 'impact fund'. Almost all the venture capital financing companies are relatively new and yet to start their business. Only one fund has so far registered and some funds are in the process of registration. A few companies have started venture financing from their own capital. Apart from these, several companies which are yet to be registered with BSEC are also providing venture capital.

BANA plans to sponsor an investment forum at which selected aquaculture enterprises will present their investment opportunities to interested investors and investment companies.

To prepare for this, BANA needs a partner who will work with the aquaculture enterprises to help them refine their business plans and present them to the potential investors.

Objective

The objective of the solicitation is to work with a selected list of enterprises in the aquaculture sector to prepare attractive investment offers for presentation at a venture capital forum.

Scope of Work

The partner selected from this solicitation will receive support to provide business development services to 6 to 8 private firms with potential for growth as identified by BANA.  This will include preparation of reasonable business plans for each with all information of relevance to potential investors as well as appropriate presentation materials.

The partner will also work with BANA to organize the venture capital forum (though the sots of this will be covered by BANA separately and are not part of this funding opportunity). 

The partner will prepare and assist the companies as they present their offers to the potential investors.

Key Deliverables:

  • Detailed documentation of client consultations
  • Business plans for the selected clients
  • Presentation  & offers of the clients.

Who can apply

Only qualified applicants should apply. "Qualified" means an established organization with a track record in investment--  a venture capital company or consultancy firm, a consultant with solid experience in working with capital market, bank, business development services provider, or similar--  with a clear understanding of SMEs and the aquaculture sector in Bangladesh.

Applicants should understand that this is not an offer to hire their services, but rather this is intended to be a partnership.  This means that (A) cost sharing will be an important consideration in making this award, and (B) this activity is intended to be the catalyst for continued work of this kind--  after this event, and without additional support from BANA, it is hoped that the partner and the investors will repeat this event in the future.

Required documentation

If selected for the grant, the partner will be required to show:

  • A certificate of incorporation (for individual companies, a trade license);
  • Joint stock registration certificate (if applicable);
  • An organizational organogram of key personnel, inclusive of the names of such personnel;
  • Tax Identification Number (TIN);
  • VAT registration number;
  • Proof of a segregated account/bank account (providing the name and address of such an account);
  • Other valid papers (provided by government institutions).
  • The consulting firm must bear all annual income tax (AIT).
  • Percentage of VAT and total amount of VAT should be mentioned in the proposal.
